Start business as owner or as manager of preexisting business

I’ll be opening a business soon in Japan but not sure how best to go about it. Taxes, both in Japan and in America are the main issues I’m trying to figure out at the moment.

My two options for opening the business are:

1. Open the business along with my wife. I’m American and she is Japanese.
2. Use an existing business registration that belongs to my mother in law (Japanese) and manage the company as CEO with mother in law as registered owner

With the limited knowledge I have at the moment it seems that 2 would be the better option since the company is already registered. From what I’ve read taxes in US as a business owner seems to be significantly more complicated than being an employee.

I’m also concerned about how to deal with the issue of capital. All of the funding will be coming from myself and my mother in law. Although I’m not certain of the percentage of each portion.

We are in the process of looking for accountants in Japan and the US but I’m hoping someone here might be able to give me general advice.
