Seeking advice on setting up company in Japan as a Permanent resident with partner on HSP-1(b) visa

Hi Japanlife community,

I am a Permanent Resident of Japan and I am exploring the possibility of forming a Godou Gaisha (GK) with a close friend who is currently on an HSP-1(b) visa.

Can anyone shed light on whether my friend’s current visa status (HSP-1 (b)) might pose any issues when it comes to being a part of a Godou Gaisha? Are there any specific requirements or restrictions we should be aware of?

I would greatly appreciate any advice or experiences shared by those who have gone through a similar process or possess knowledge on the matter.

I only have experience with forming a K.K., but for that we did not need to be permanent residents and no issues arose in the roughly 10 years after the formation until all of the founders eventually received PR. We did have one Japanese national to serve as one of the initial directors as that was still a requirement in 2013. As far as I understand, that is no longer even required today (see [https://www.moj.go.jp/ENGLISH/m_minji06_00004.html](https://www.moj.go.jp/ENGLISH/m_minji06_00004.html)). I’m not a lawyer and I’m not sure if that would be different for a GK, but I don’t see why it should be.

    However, if you are forming the company with the intent to create a business with your friend, I would highly recommend discussing potential issues with a lawyer. You don’t want any legal surprises to spring up after you’ve build client connections and initial revenue.

  2. Most of the issues will happen on the side of your partner.

    If the new company will be their primary job most likely they would have to change their SOR to a more generic ‘Engineer/Humanities/Intl. Services’ as getting approval for staying on HSP with a newly formed GK may be close to impossible.

  3. I have a goudou kaisha, contact immigration is your best shot. But they told me as long as you have a valid visa in Japan already, its not difficult. I setup a company without a valid visa. Maybe sole proprietary is also also an option
